3. Account Registration and Security

3.1 Account Creation

To list or purchase chemicals, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to maintain its accuracy.

3.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access or security breach

3.3 Business Verification

We reserve the right to verify your business credentials, licenses, and authorizations to trade chemicals. Failure to provide requested documentation may result in account suspension or termination.

4. Platform Services

4.1 Marketplace Platform

SurplusChemicalsEU provides a B2B marketplace platform that connects buyers and sellers of surplus industrial chemicals. We facilitate connections but are not a party to transactions between users.

4.2 Role as Intermediary

We act solely as an intermediary platform. We do not:

  • Own, sell, or distribute chemicals listed on the Platform
  • Guarantee the quality, safety, or legality of listed products
  • Control or participate in transactions between buyers and sellers
  • Provide warranties or representations about listed chemicals

5. Listing Chemicals

5.1 Seller Obligations

When listing chemicals, sellers must:

  • Provide accurate and complete product information
  • Include all required safety documentation (SDS, COA, etc.)
  • Ensure compliance with EU chemical regulations (REACH, CLP, etc.)
  • Have legal authority to sell the listed chemicals
  • Maintain proper licenses and permits for chemical trading
  • Respond promptly to buyer inquiries
  • Honor pricing and availability as listed

5.2 Prohibited Listings

You may not list:

  • Chemicals banned or restricted under EU law
  • Products without proper documentation or traceability
  • Counterfeit or misrepresented chemicals
  • Chemicals obtained illegally or without proper authorization
  • Hazardous materials without appropriate classification and labeling
  • Products that violate intellectual property rights

5.3 Listing Review

All listings are subject to review and approval by our team. We reserve the right to reject, remove, or modify listings that violate these Terms or applicable regulations.

6. Purchasing Chemicals

6.1 Buyer Obligations

Buyers must:

  • Have appropriate licenses and permits to purchase and handle chemicals
  • Verify product specifications and suitability for intended use
  • Comply with all import/export regulations
  • Conduct proper due diligence before purchasing
  • Arrange appropriate transportation and handling

6.2 Transaction Terms

Transactions are conducted directly between buyers and sellers. Payment terms, delivery arrangements, and contractual obligations are negotiated between the parties. We are not responsible for payment disputes or delivery issues.

7. Compliance with Laws

7.1 EU Chemical Regulations

All users must comply with:

  • REACH: Registration, Evaluation, Authorization and Restriction of Chemicals
  • CLP: Classification, Labelling and Packaging of substances and mixtures
  • Biocidal Products Regulation (BPR)
  • Plant Protection Products Regulation (PPPR)
  • Seveso III Directive: Control of major-accident hazards
  • ADR/RID: Transport of dangerous goods

7.2 Export Controls

Users are responsible for compliance with export control regulations, including dual-use goods regulations and sanctions programs.

8. Intellectual Property

8.1 Platform Content

All content on the Platform, including text, graphics, logos, designs, and software, is owned by SurplusChemicalsEU or our licensors and is protected by copyright, trademark, and other intellectual property laws.

8.2 User Content

By posting content on the Platform, you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display such content for the purpose of operating and promoting the Platform.

8.3 Trademarks

You may not use our trademarks, logos, or brand elements without prior written permission.

9. Fees and Payments

We may charge fees for certain services, including listing fees, transaction fees, or premium features. All applicable fees will be clearly disclosed before you incur any charges. Fees are non-refundable unless otherwise stated.

10. Prohibited Conduct

You may not:

  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights
  • Engage in fraudulent or deceptive practices
  • Interfere with Platform operations or security
  • Attempt to gain unauthorized access to systems or data
  • Use automated tools to scrape or harvest data
  • Impersonate others or provide false information
  • Harass, threaten, or abuse other users
  • Circumvent our fees or payment systems
  • Use the Platform for any illegal purpose

11. Disclaimers and Limitations of Liability

11.1 Platform "As Is"

The Platform is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

11.2 No Guarantee

We do not guarantee:

  • Uninterrupted or error-free operation
  • Accuracy or reliability of content
  • Quality, safety, or legality of listed chemicals
  • Successful completion of transactions
  • Conduct or identity of users

11.3 Limitation of Liability

To the maximum extent permitted by law, SurplusChemicalsEU shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of the Platform or any transactions conducted through it.

11.4 Maximum Liability

Our total liability to you for all claims arising from your use of the Platform shall not exceed the amount of fees you paid to us in the 12 months preceding the claim, or €100, whichever is greater.

12. Indemnification

You agree to indemnify, defend, and hold harmless SurplusChemicalsEU, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including legal fees) arising from:

  • Your use of the Platform
  • Your violation of these Terms
  • Your violation of any laws or regulations
  • Your listings or transactions
  • Infringement of third-party rights

13. Termination

13.1 Termination by You

You may terminate your account at any time by contacting us.

13.2 Termination by Us

We may suspend or terminate your account immediately, without notice, if:

  • You violate these Terms
  • You engage in fraudulent or illegal activity
  • Your account poses a security risk
  • Required by law or regulatory authorities
  • We cease operations

13.3 Effect of Termination

Upon termination, your right to use the Platform ceases immediately. Provisions regarding intellectual property, disclaimers, limitations of liability, and indemnification survive termination.

14. Dispute Resolution

14.1 Governing Law

We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, or government actions.
